1. INTRODUCTION AND AGREEMENT
Thank you for visiting Palaava by EVoolv (the "Site", "Us" or "We"). The Site includes any version optimized for mobile computing devices such as smartphones and tablets, as well as mobile applications and any other websites owned or operated by Us. These Terms of Service ("Terms") govern your access to and use of Palaava, a web-based B2C dispute management platform that enables businesses and organizations to manage customer complaints, payment disputes, and asset-related issues in a structured and transparent manner. In these Terms, "User" refers to any individual or entity accessing or using the Platform, including but not limited to businesses, organizations, and their customers, each of whom agrees to comply with these Terms and all applicable laws and regulations. By accessing and using this Site, you acknowledge you have read, understood and agree to be bound by these terms. You also acknowledge that you are at least eighteen (18) years of age. If you do not agree to be bound, do not access the site or use any services.
2. ELIGIBILITY AND REGISTRATION
- You must be at least 18 years old to register or use our services.
- You agree to provide accurate and complete registration details.
- You are responsible for maintaining the confidentiality of your account and password.
- Palaava reserves the right to suspend or terminate accounts that provide false information or misuse the Site.
3. SERVICE DESCRIPTION
Palaava provides ticket-based resolution workflows, clear accountability, and supports regulatory compliance within Nigeria. It is designed to facilitate the structured management of B2C disputes between organizations and their clients. Evoolv acts as a facilitator providing the infrastructure for these interactions and is not a party to the underlying commercial contracts between users.
4. USER OBLIGATION/ELIGIBILITY
Users must not:
- Use the Platform for illegal purposes.
- Harass, abuse, or harm other users or staff.
- Provide false or misleading information regarding disputes or identity.
- Attempt to disrupt or hack the Platform.
5. FEES AND PAYMENT
- Evoolv may charge commissions, transaction fees, or service fees for the use of Palaava's management tools.
- All payments must be made through approved methods on the Platform.
- All prices are in Nigerian Naira and include applicable taxes where required.
- Prices and fee structures are subject to change without notice.
6. INTELLECTUAL PROPERTY
All content on our platform, including images, text, logos, and software, is protected by intellectual property rights owned by Evoolv, Palaava or licensed to us. You may not reproduce, distribute, create derivative works or exploit any part of the Platform without our written consent.
7. LIMITATION OF LIABILITY
EVoolv provides the Platform and is limited to the maximum extent permitted by Nigerian law. We do not guarantee uninterrupted or error-free service. We are not liable for:
- Delays or damages caused by third-party users or vendors.
- Indirect, incidental, or consequential damages arising from your use of our services.
- Loss of data due to user error or account compromise.
8. PRIVACY
Your privacy is important to us. Palaava collects and processes data in accordance with the Nigeria Data Protection Act (NDPA) 2023. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
9. DISPUTE RESOLUTION
In the event of a dispute regarding these terms:
- Parties shall attempt to resolve disputes through mediation under the Lagos Multi-Door Courthouse Rules.
- If mediation fails, disputes shall be finally resolved by arbitration in Lagos, Nigeria under the Arbitration and Mediation Act, 2023.
- Nigerian law governs these terms and the language of proceedings shall be English.
- Courts of Lagos have exclusive jurisdiction and the arbitral award shall be final and binding.
10. MODIFICATIONS
We reserve the right to modify these terms at any time. Changes will be posted on our platform or sent by email and take effect immediately. Continued use of our services after changes constitutes acceptance of the modified terms.
11. TERMINATION OF ACCOUNT
We may terminate or suspend your account and access to our services at any time for violation of these terms, engagement in fraud, illegal activity, and misconduct or for any other reason at our sole discretion.
